Meaning
Legal contract establishing a relationship where one party holds physical possession of a polymer mould or manufacturing asset owned by another party. A bailment agreement defines the specific purpose for which the tool is transferred, such as production or repair, and prohibits the possessor from using the asset for other clients. This arrangement is the standard framework for outsourced injection moulding where the brand owner retains title to the tooling.
Custodial Duty
Possession of the asset carries an obligation to maintain it in a state of good repair and to protect it from damage or theft. Under the terms of a bailment agreement, the moulder must follow the specified maintenance schedule and document all work performed on the tool. Failure to exercise reasonable care results in liability for the replacement cost of the equipment.
Property Recovery
Clear language regarding the return of the asset allows the owner to repossess the tool at any time without a dispute over ownership. Because a bailment agreement explicitly separates possession from title, the tool cannot be seized by the moulder’s creditors during a financial crisis or bankruptcy proceeding. This protection is essential when production must be moved to a different facility on short notice.
Liability Transfer
Risk of loss usually shifts to the party in possession once the equipment is delivered to their site. A bailment agreement specifies the insurance requirements and the point at which the responsibility for the asset transfers from the owner to the custodian. Verification of the insurance policy is a standard step in the onboarding process.
