A chattel bailment occurs when a toolmaker or customer provides a mould to a contract manufacturer for a production run. The manufacturer holds the asset as a bailee while the customer retains title.

Transfer Condition
Contractual obligation defines the specific purpose for which the asset is held. In any chattel bailment the possession is temporary and conditional. Once the production order is complete or the contract expires, the right of possession reverts to the bailor.

Protection of high value assets relies on the separation of possession and title. If a moulding plant enters insolvency, a chattel bailment prevents the liquidator from treating the customer’s tools as part of the manufacturer’s estate. Proper documentation of the transfer protects the buyer from losses associated with the supplier’s financial instability.
Accurate records of serial numbers and receipt dates support the legal standing of the owner.
Liability Scope
Responsibility for damage or maintenance is determined by the nature of the benefit derived from the arrangement. Under the rules of a chattel bailment the standard of care might vary depending on whether the service is paid for or provided as a courtesy. Negligence by the bailee results in a claim for damages to the original state of the asset.
The agreement terminates when the goods are returned or destroyed.
